Service description

LeadForge NH is a lead-matching and dispatch platform operated by De Mello Ventures LLC, a New Hampshire limited liability company ("Company," "we," "us"). We connect homeowners in New Hampshire with independent home service professionals ("Contractors") for services including but not limited to junk removal, pressure washing, gutter cleaning, house cleaning, handyman work, lawn care, and painting.

By accessing our website or submitting any form, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our platform.

Eligibility & account use

To use LeadForge NH, you must:

• Be at least 18 years of age
• Be a homeowner, tenant, or property manager authorized to request services at the property in question
• Provide accurate and truthful information in all form submissions
• Be located in or requesting services within the state of New Hampshire

By using this platform you represent and warrant that you meet all of the above requirements. If you do not, you must not access or use our services.

User conduct

You agree to use LeadForge NH only for lawful purposes and in a manner that does not infringe the rights of others. You may not use our platform to:

• Submit false, misleading, or fraudulent lead requests
• Harvest or scrape contractor contact information
• Attempt to bypass bot-protection or spam our forms
• Engage in any unlawful conduct or solicit unlawful services
• Interfere with or disrupt our services, servers, or networks
• Impersonate any person or entity or misrepresent your affiliation
• Collect or store personal data about other users without consent

We reserve the right to refuse service, cancel access, or block users who violate these terms at our sole discretion, with or without notice.

Contractor terms

Contractors who apply to join the LeadForge NH network agree to the following additional terms:

• Vetting: All contractor applications are reviewed by LeadForge NH before leads are dispatched. We reserve the right to decline any application without explanation.
• Accuracy: Contractors must accurately represent their services, licensing, insurance status, and service area. Misrepresentation is grounds for immediate removal.
• Lead fees: Lead pricing and billing terms are established in a separate written agreement at the time of onboarding and may be updated with 30 days' written notice.
• Response time: Contractors are expected to contact matched homeowners within 2 business hours of receiving a lead to maintain quality standards.
• Conduct: Contractors must treat homeowners professionally and comply with all applicable New Hampshire licensing, bonding, and insurance requirements for their trade.
• Removal: LeadForge NH reserves the right to remove any contractor from the network at any time for poor performance, verified customer complaints, or violation of these terms.

Communications consent, revocation, and lead use restrictions

By submitting a request through LeadForge NH, you authorize LeadForge NH to share your request and contact information with one or more matched local contractors, typically no more than three (3), for the purpose of contacting you about the specific service request you submitted.

Where required by law, by submitting a request and affirmatively checking the consent box, you provide prior express written consent for LeadForge NH and matched contractors to call or text you about that request, including through automated technology, prerecorded voice, or artificial voice technologies to the extent such technologies are used. Consent is not a condition of purchase.

Scope of consent

Any consent you provide through LeadForge NH is limited to communications regarding the specific request you submitted, unless you separately provide broader consent.

Revocation of consent

You may revoke consent at any time by any reasonable method, including replying STOP to a text message, telling a caller that you do not want further contact, or contacting LeadForge NH directly. LeadForge NH and contractors participating in the network must honor valid revocation and do-not-contact requests within a reasonable time, not to exceed ten (10) business days where applicable.

Contractor use restrictions

Contractors receiving lead information through LeadForge NH may use that information only to respond to the specific request submitted by the homeowner. Contractors may not sell, transfer, retain for unrelated marketing, or reuse lead data for future campaigns without obtaining any additional consent required by law.

Compliance obligation

Contractors are solely responsible for complying with the TCPA, state telemarketing laws, do-not-call laws, caller ID rules, and all other applicable calling and texting laws in their use of lead information received through LeadForge NH.

Suspension and removal

LeadForge NH may suspend, terminate, or permanently remove any contractor from the network for misuse of lead information, failure to honor opt-out or revocation requests, unlawful calling or texting practices, or other conduct that creates legal or reputational risk.

Indemnification for calling and texting violations

To the fullest extent permitted by law, contractors agree to defend, indemnify, and hold harmless LeadForge NH, De Mello Ventures LLC, and their officers, employees, and agents from and against any claims, damages, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or related to the contractor's calls, texts, telemarketing practices, TCPA violations, do-not-call violations, misuse of lead information, or failure to honor revocation or opt-out requests.

Disclaimers & warranties

Our platform and all content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

LeadForge NH does not warrant:

• That any contractor is licensed, insured, or bonded (though we take reasonable steps to verify this)
• The quality, workmanship, timeliness, or outcome of any work performed by a contractor
• That the platform will be available at all times or free of errors
• That leads will always result in a successful match

You are solely responsible for independently verifying the credentials, licenses, and reputation of any contractor before engaging their services. We recommend requesting proof of insurance and checking references before any work begins.

Limitation of liability

To the maximum extent permitted by applicable law, De Mello Ventures LLC and its officers, employees, agents, and successors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Property damage or personal injury caused by a contractor
• Loss of profits, data, or business opportunities
• Costs of obtaining substitute services
• Any damages arising from contractor conduct, workmanship, or non-performance

Our total cumulative liability to you for any claim arising out of or relating to these terms or the use of our platform shall not exceed $100 USD.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

Governing law & disputes

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to its conflict-of-law provisions.

Any dispute arising from these terms or your use of the platform shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration in Rockingham County, New Hampshire, under the rules of the American Arbitration Association. You waive the right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.

Entire agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and De Mello Ventures LLC regarding your use of LeadForge NH, superseding all prior agreements or understandings.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these terms will not be considered a waiver of that right or provision.
